Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern the use of consulting services provided by Process Lab Company LLC (“the Firm,” “we,” or “our”). By engaging our services, clients (“you” or “the Client”) agree to comply with and be bound by these Terms. If you do not agree, please refrain from using our services.

2. Services

The Firm provides professional consulting services as outlined in individual agreements, proposals, or statements of work. The scope, deliverables, and timelines will be defined in writing prior to the commencement of any project.

3. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information necessary for the Firm to perform its services.
• Cooperate with the Firm’s consultants and respond to requests for information or feedback.
• Ensure that any decisions based on the Firm’s recommendations are made at the Client’s discretion and responsibility.

4. Fees and Payment

• Fees are specified in the service agreement or proposal.
• Payment terms are typically weekly or monthly subscriptions unless otherwise agreed in writing.
• The Firm reserves the right to suspend or terminate services for non-payment.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the engagement. Confidential information shall not be shared with third parties without prior written consent, except as required by law.

6. Intellectual Property

All materials, reports, analyses, and deliverables created by the Firm remain the property of the Firm until full payment is received. Upon payment, the Client is granted a non-exclusive, non-transferable license to use the deliverables for internal business purposes only.

7. Limitation of Liability

The Firm’s liability for any claim arising out of or relating to the services provided shall not exceed the total fees paid by the Client for those services. The Firm shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data.

8. Warranties and Disclaimers

The Firm provides consulting services based on professional expertise and best practices but does not guarantee specific outcomes or results. All services are provided “as is” without warranties of any kind, express or implied.

9. Termination

Either party may terminate the engagement with written notice if the other party breaches these Terms and fails to remedy the breach within 10 business days. Upon termination, the Client shall pay for all services rendered up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States without regard to its conflict of law principles.

11. Dispute Resolution

Any disputes arising under these Terms shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association.

12. Amendments

The Firm reserves the right to update or modify these Terms at any time. Clients will be notified of significant changes, and continued use of services after such notice constitutes acceptance of the revised Terms.

13. Entire Agreement

These Terms, together with any service agreements or proposals, constitute the entire agreement between the Client and the Firm and supersede all prior communications or understandings.

Cancellation Policy

Effective Date: 10/30/20251. Purpose
This policy outlines the terms and conditions for cancelling Process Lab Company LLC consulting, ensuring fairness and clarity for both clients and consultants.

2. Refunds

Refunds are not available, but the service can be cancelled at any time, and the client will not be charged going forward.
